The Corporate Transparency Act

The Corporate Transparency Act (“CTA”), which went into effect on January 1, 2024, represents a significant shift in the regulatory landscape for small businesses in the United States. It is aimed at increasing transparency in corporate ownership to combat illicit activities. More specifically, enacted as part of the National Defense Authorization Act for Fiscal Year 2021, the CTA mandates the reporting of beneficial ownership information to the Financial Crimes Enforcement Network (“FinCEN”) to make it more difficult for individuals to use complex corporate structures to facilitate illegal activities, evade taxes, or launder money.
